CortexPlaza customer terms
Last updated:
Version 2026-11
These terms are an agreement between UIC s.a.r.l, a company registered in Lebanon ("UIC", "we"), and the business that accepts them ("the Customer", "you"): a shopping mall, a group of malls, or a restaurant or other business operating inside a mall that subscribes to CortexPlaza. The person who accepts these terms confirms they are authorised to bind the Customer. Acceptance happens by clicking "Accept" in the CortexPlaza control panel or by signing a copy. If a signed order form or contract exists, it takes precedence where it differs.
1. Definitions
- CortexPlaza or the Service: UIC's platform for shopping malls, including the WhatsApp concierge, food-court ordering, parking spot saving, the control panels and related features, as described in the Customer's plan.
- Plan: the subscription tier and options the Customer chose.
- Shoppers: members of the public who use the Service, mainly through WhatsApp.
- Customer Data: information the Customer or its staff put into the Service, and data about the Customer's Shoppers that the Service processes on the Customer's behalf.
- Billing Period: a quarter or a year, as chosen in the subscription.
2. The Service
2.1 UIC provides the Service as described in the Customer's Plan and keeps it running, secure and up to date. Features may be added, improved or changed; UIC will not remove a core feature of a paid Plan during a paid Billing Period without offering a reasonable alternative or a pro-rata refund of that feature's share.
2.2 WhatsApp. Each mall connects its own WhatsApp Business number, owned by the mall's own Meta account. The mall accepts Meta's terms and policies, pays Meta's messaging fees directly to Meta, and is responsible for its number's standing with Meta. UIC configures and operates the connection on the mall's behalf as a technology provider and reports message usage, but is not responsible for decisions Meta takes about the mall's account.
2.3 Artificial intelligence. Some features use artificial intelligence to understand questions and prepare answers. AI can make mistakes. The Service answers from the information the Customer provides, offers a hand-over to the mall's staff, and lets the Customer review and correct content. The Customer should not rely on AI answers for safety-critical, medical or legal matters; emergency requests follow the mall's security procedure and are not answered by AI.
2.4 Usage allowances. Each Plan includes a monthly allowance of AI usage. UIC alerts the Customer when 50%, 80% and 100% of it is used. When the allowance is used up, AI features pause until the next month or until the Customer buys a top-up; the concierge then continues in basic mode (directory, hours, menus, parking and hand-over to staff), and services that do not use AI continue normally. Allowances reset each month and do not carry over.
2.5 Availability. UIC aims for the Service to be available at all times but does not guarantee uninterrupted service. Planned maintenance is announced in advance where possible and scheduled outside busy hours. Any service-level commitment applies only if written in a signed order form.
3. Accounts and security
The Customer invites its own staff and gives each person the role they need. Accounts are personal and must not be shared. Staff with management roles must use two-step verification. The Customer is responsible for what its staff do with their accounts and must tell UIC promptly about any suspected misuse; UIC may suspend an account that appears compromised.
4. The Customer's responsibilities
4.1 Accurate information. The Customer is responsible for the accuracy and lawfulness of the information it puts into the Service: for malls, the directory, opening hours, services, events and offers; for restaurants, menus, prices, availability, allergens and opening status. The mall keeps its directory current (new, moved and closed stores).
4.2 Restaurants and orders. Shoppers pay restaurants directly, in cash at the counter or by Whish into the restaurant's own account. The sale is between the Shopper and the restaurant. UIC never receives or holds Shoppers' money and is not a party to the sale, the food or its quality, safety or delivery. Restaurants handle refunds and complaints about their orders.
4.3 Laws and policies. The Customer complies with the laws that apply to it (including consumer protection, food safety and data protection) and with Meta's WhatsApp policies. Messages that promote offers are sent only to Shoppers who agreed to receive them.
4.4 Acceptable use. The Customer will not use the Service to send spam, mislead Shoppers, collect data it is not allowed to collect, attempt to access other customers' data, reverse-engineer the Service, or overload it.
5. Fees and payment
5.1 Fees are those of the Customer's Plan, in US dollars, payable in advance for each Billing Period (quarterly or yearly). A one-time setup fee applies to malls (and a menu setup fee to restaurants where stated), covering the setup scope described in the order or plan.
5.2 Payment is made by Whish to UIC's company account, or in cash against a receipt. Bank transfers are not accepted unless agreed in writing. Each payment is recorded with its reference and period.
5.3 Discounts (for example for yearly payment) apply as shown when the subscription is created or renewed. UIC may change prices with at least 60 days' notice; new prices apply from the next Billing Period.
5.4 Renewal and reminders. Subscriptions renew for the same Billing Period unless cancelled before the end of the current one. UIC sends reminders starting one month before the renewal date and more frequently as it approaches.
5.5 Non-payment. If the next Billing Period is not paid by its first day, the Service is suspended for that Customer from that day, without a grace period. Recording the payment restores the Service. Suspension does not cancel amounts due for periods already used.
5.6 Fees for a started Billing Period are not refunded, except where these terms say otherwise or the law requires. Fees are exclusive of value-added tax and other taxes, which are added where applicable.
5.7 Restaurant tiers. A restaurant whose orders through CortexPlaza exceed its tier's monthly order-value limit is moved to the next tier from the next Billing Period, after notice. Ordering is never stopped during a paid period because of the limit.
6. Going live
A mall or restaurant goes live only after UIC approves it: subscription in force, current period paid, these terms accepted, and the onboarding checklist complete. Restaurants go live only once their mall is live.
7. Data protection and confidentiality
7.1 For Customer Data about Shoppers, the Customer (the mall, or the restaurant for its orders) decides why it is processed, and UIC processes it on the Customer's behalf to provide the Service. UIC follows Lebanese Law No. 81 of 2018 and applies the principles of the EU General Data Protection Regulation.
7.2 UIC processes Customer Data only to provide, secure and improve the Service and as the Customer instructs; keeps it confidential; protects it with appropriate security (encryption in transit, access control, two-step verification for staff, audit logs); tells the Customer without undue delay about a security incident affecting its data; helps the Customer answer Shoppers' requests to access or delete their data; and uses only service providers bound by equivalent obligations.
7.3 Service providers currently used: Supabase (database and sign-in), Render and Cloudflare (hosting and network), Mailjet (email), Meta (WhatsApp) and AI model providers. Some store data outside Lebanon. UIC keeps this list up to date and informs customers of changes.
7.4 UIC may use anonymised, aggregated statistics that cannot identify a Customer or a Shopper to operate and improve the Service and to produce industry insights.
7.5 Each party keeps the other's non-public business information confidential and uses it only for this agreement.
8. Intellectual property
UIC owns CortexPlaza, its software, designs and know-how. The Customer receives a non-exclusive, non-transferable right to use the Service during its subscription. The Customer owns its Customer Data and grants UIC the rights needed to host and process it for the Service. The Customer's names and logos remain the Customer's; UIC mentions the Customer as a client only with its consent.
9. Term, cancellation and end of service
These terms apply from acceptance until the subscription ends. The Customer can cancel at any time with effect at the end of the current paid Billing Period. UIC can end the agreement at the end of a Billing Period with 60 days' notice, or immediately if the Customer seriously breaches these terms and does not remedy it within 14 days of notice where remedy is possible. After the end, the Customer can export its directory and reports for 30 days; UIC then deletes Customer Data, except what it must keep by law (for example billing records) or in secure backups that expire on their normal schedule.
10. Liability
Nothing in these terms limits liability that cannot be limited under Lebanese law, including for fraud or gross negligence. Otherwise, neither party is liable for indirect or consequential losses, including lost profits, lost sales or loss of reputation. UIC's total liability in any 12-month period is limited to the fees the Customer paid UIC for the Service in those 12 months. UIC is not liable for the sale between a restaurant and a Shopper, for inaccurate information provided by the Customer, for Meta's decisions about the Customer's WhatsApp account, or for interruptions caused by events beyond reasonable control (including power and internet outages, war, civil unrest and acts of authorities).
11. Changes to these terms
UIC may update these terms. The new version is shown in the control panel with its version number and date, and the person responsible is asked to accept it. Material changes take effect at the next Billing Period, at the earliest 30 days after notice; a Customer that does not agree may cancel with effect at the end of its current Billing Period.
12. General
Notices are sent by email to the addresses registered in the Service; UIC's address is [email protected]. Neither party transfers this agreement without the other's consent, except UIC to a company that takes over the Service. These terms, the Plan and any signed order form are the whole agreement on the Service. These terms are governed by Lebanese law; the parties first try to settle any dispute amicably within 30 days, and otherwise the competent courts of Beirut decide.
